The LSU Health Foundation, New Orleans is an institutionally related 501(c)(3) organization thatsupports LSU Health New Orleans and its fourfold mission of education, patient care, research, andcommunity outreach.

The mission of the Foundation is to inspire donors to invest in the LSU HealthNew Orleans and its future and to properly steward those contributions, and to help meet the ever-evolving needs of the LSU Health New Orleans by providing new philanthropic and business resources,partnerships, programs, real estate and property leases, auxiliary businesses and other services thatsupport and strengthen the educational and community mission of the LSU Health New Orleans.

Summary/Objective
The Director of External and Legal Affairs will report directly to the CEO to manage and overseelegal, compliance, and risk management matters for our organization and will advance theFoundation’s interests by working collaboratively with internal and external stakeholders.

Theposition will engage with university, state, federal, local, and private partners to play a critical role indeveloping projects that require coordinating the various interests.

The duties of this position willprovide general legal counsel regarding advice on legal matters, creating contracts, etc.

The Directorwill work hand in hand with many business venture and philanthropic projects and require an abilityto effectively spot and analyze legal issues and present positive and creative solutions.

This positionwill handle real estate transactions and business plan development in coordination with theExecutive Director of Business Ventures.

Strategic human resource initiatives and insurance relatedmatters will also be a priority to mitigate risk.

  • Responds to all legal inquiries and addresses all legal matters of the organization.
  • Supports Business Ventures by developing, planning, writing and reviewing CooperativeEndeavor Agreements, Letters of Intent, Leases, Contracts, etc.
  • Develop, plan, write and review Board Regulations, Board Motions, Corporate Documents, Organizational Policies and Procedures, etc.
  • Provide general legal counsel including advising the staff and board on legal matters,reviewing and/or creating all contracts, conducting research, notary, creating LLCs, andother similar duties
  • Develop, manage relationships, and represent the Foundation with the university,government representatives (e.g.

    city, state, federal), partners and other stakeholders

  • Promotes and streamlines all legal and policy driven communication in the company andwith partnering institutions.
  • Collaborates with executives, including the Board, to advise and counsel them on legaland public relations techniques, including, but not limited to, potential problems and opportunities
  • Works to minimize damage from any type of immediate legal problem by utilizingprinciples of crisis management and coordinate with other leaders on communications asnecessary.
  • Assists Business Ventures in managing and researching a portfolio of various businessplans and auxiliary services with varying degrees of complexity.
  • Prepares, reviews, and negotiates agreements, contracts and purchase orders withspecific vendors, as requested.
  • Provide support on the Request for Proposal (RFP) process and compares bids fromvendors to determine, or assists in determining, contract awards.
  • Assists Business Ventures with conducting real estate transactions including thecoordination of buying, leasing, and governance activities of the LSU HealthFoundation’s property.
  • Maintains and manages good records including, but not limited to property sales andleases, agreements, special permits issued, legal matters, corporate and board relateddocuments, human resources, insurance policies.
  • Assists leadership in developing guidelines, rules, and regulations for tenants, visitors,and the community, as needed.
  • Reviews all legal matters related to philanthropic gifts and information collected forphilanthropic development, including HIPAA related matters.
  • Engages with insurance brokers and underwriters; recommends and implementschanges to insurance policies and procedures, including managing policy renewals andclaims response.
  • Reviews accident and claims history, property value, actuarial studies, and other factorsto assess risk.
  • Maintains knowledge of laws, regulations, and best practices in employment law, humanresources, and talent management.
  • Ensures compliance with employment, benefits, insurance, safety, and other laws,regulations, and requirements.
  • Other duties as assigned

Minimum Qualifications 

• Bachelor’s degree

• Juris Doctor degree

• Louisiana notary

• Excellent writing, communication, and organizational skills

• 3-5 years of relevant experience

• Demonstrated experience managing staff
